By accessing or using MarinePulse (the "Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, do not access or use the Service. These Terms apply to all users, including individuals and organisations ("you" or "User").
The Service is operated by MarinePulse ("we", "us", or "our"). We reserve the right to update these Terms at any time. Continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.
You must be at least 16 years of age to use MarinePulse. By using the Service, you represent and warrant that you meet this requirement and that any information you provide is accurate and complete. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.
MarinePulse is a cloud-based vessel management platform providing tools for fleet management, maintenance scheduling and tracking, crew management, rostering, document storage, notifications, and related features (collectively, the "Service"). The Service is provided on an "as is" and "as available" basis.
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at hellomarinepulse@gmail.com of any unauthorised access or security breach.
We reserve the right to suspend or terminate your account at our sole discretion, including where we believe you have violated these Terms, without prior notice and without liability to you.
You agree not to use the Service to:
You retain ownership of all data, files, photos, and other content you upload to the Service ("Your Content"). By uploading Your Content, you grant us a limited, non-exclusive, royalty-free licence to store, process, and display Your Content solely for the purpose of providing the Service to you.
You are solely responsible for Your Content and warrant that you have all necessary rights to upload it and that it does not violate any third-party rights or applicable laws. We reserve the right to remove any content that we determine, at our sole discretion, to be in violation of these Terms.
All aspects of the Service — including but not limited to software, design, trademarks, logos, and documentation — are the exclusive property of MarinePulse and are protected by applicable intellectual property laws worldwide. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it as expressly set out herein.
The Service may integrate with or link to third-party services and websites. We have no control over and accept no responsibility for the content, privacy practices, or terms of those third parties. Your use of any third-party service is at your own risk and governed by their respective terms.
By using the Service, you consent to receiving transactional and operational emails, including maintenance reminders, task notifications, and account-related communications. You may adjust your notification preferences within the app. You may not opt out of communications that are strictly necessary for the operation of the Service.
To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Service will be uninterrupted, error-free, secure, or that any defects will be corrected. MarinePulse is a management and record-keeping tool only — it does not replace professional maritime, engineering, safety, or legal advice. You are solely responsible for compliance with all applicable maritime laws, safety regulations, and vessel maintenance obligations in your jurisdiction.
To the maximum extent permitted by applicable law, in no event will MarinePulse, its directors, shareholders, or any associated agents be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, loss of profit, loss of revenue, personal injury, or property damage — arising out of or in connection with your use of, or inability to use, the Service, regardless of the cause or the theory of liability asserted.
Where liability cannot be excluded by law (including under the New Zealand Consumer Guarantees Act 1993, Australian Consumer Law, or equivalent consumer protection legislation in your jurisdiction), liability is limited to the greatest extent permitted by law and, where applicable, to the re-supply of the Service or the cost thereof.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law in your jurisdiction, including statutory consumer guarantees.
You agree to indemnify, defend, and hold harmless MarinePulse, its directors, shareholders, and any associated agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, Your Content, or your violation of these Terms.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in our Privacy Policy.
Either party may terminate these Terms at any time. You may terminate by ceasing to use the Service and closing your account. We may terminate or suspend your access immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms are governed by and construed in accordance with the laws of New Zealand. You agree to submit to the exclusive jurisdiction of the courts of New Zealand for the resolution of any disputes arising from these Terms or your use of the Service.
Notwithstanding the foregoing, we reserve the right to seek injunctive or other equitable relief in any jurisdiction to protect our intellectual property. If you are a consumer in a jurisdiction that mandates local governing law, your statutory rights under that law are not affected by this clause.
If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and MarinePulse with respect to the Service and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the Service.
